Vendor Listing Agreement

1. Self-Reporting Responsibility

By listing on BizStackHub, you represent and warrant that:

• All information in your vendor profile — including your business name, description, service offerings, credentials, pricing, location, and contact information — is accurate, complete, and not misleading.
• You have the legal authority to offer the services described in your listing.
• You hold any licenses, certifications, or permits required to provide your services in the jurisdictions where you operate.
• You will promptly update your profile if any information becomes inaccurate.

You understand that BizStackHub does not independently verify any claims you make in your profile. You are solely responsible for the accuracy of your self-reported information.

2. No Endorsement or Verification

A listing on BizStackHub does not constitute an endorsement, recommendation, or certification by BizStackHub. BizStackHub does not:

• Verify vendor credentials, licenses, or certifications
• Conduct background checks on vendors or their principals
• Guarantee the quality, competency, or performance of any vendor
• Represent that any vendor is suitable for any particular customer's needs

Vendors must not represent in any marketing or communications that they are "endorsed by," "verified by," or "certified by" BizStackHub.

3. Vendor Indemnification

You agree to indemnify, defend, and hold harmless BizStackHub (Steeled Inc.) and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your services, whether or not they arise from an inquiry submitted through BizStackHub
• Any inaccurate, misleading, or unlawful content in your vendor profile
• Your violation of this Agreement or the general Terms of Service
• Any dispute between you and a customer, regardless of how the customer found you
• Any infringement of third-party intellectual property rights by your listing content

4. Listing Tier Terms

BizStackHub offers the following listing tiers. Tier features and pricing are subject to change with 30 days' notice.

4.1 Free Listing

• Basic vendor profile visible in the directory
• Inquiry form (customer-to-vendor messaging)
• Immediate email notification on each inquiry

4.2 Premium Listing

• All Free features plus:
• Enhanced profile visibility and sort priority
• Daily summary email: inquiry count, trend data
• Inquiry analytics on dashboard (total inquiries, inquiry trend, top keywords)
• Automated response templates (auto-reply to inquiries)

4.3 Spotlight Listing

• All Premium features plus:
• Top placement in category listings
• Weekly performance email: profile views, inquiries, review summary
• Category ranking position
• "★ Spotlight" badge on profile and directory listing

BizStackHub reserves the right to modify tier features. Material changes will be communicated to listed vendors at their registered email address with 30 days' notice.

5. Review Policy

BizStackHub may (in future platform versions) allow customers to submit reviews of vendors. If reviews are enabled:

• Reviews reflect the opinions of customers, not BizStackHub
• BizStackHub does not verify the accuracy or authenticity of reviews
• Vendors may not solicit fake reviews or incentivize reviews in exchange for compensation
• Vendors may flag reviews they believe violate the review policy for BizStackHub's consideration, but BizStackHub has sole discretion over review moderation
• BizStackHub will not remove negative reviews solely because a vendor disagrees with the customer's opinion

6. Moderation Policy

BizStackHub reserves the right to remove, suspend, or modify any vendor listing that:

• Contains false, misleading, or deceptive information
• Violates applicable laws or regulations
• Involves services that are illegal, harmful, or violate BizStackHub's policies
• Generates a pattern of customer complaints
• Is determined in BizStackHub's sole discretion to be inconsistent with the platform's standards

BizStackHub will make reasonable efforts to notify vendors of listing suspension or removal and provide an opportunity to respond, except where immediate removal is required (e.g., illegal content).

7. Dispute Resolution Scope (Limited)

BizStackHub is not a party to any contract or dispute between vendors and customers. BizStackHub has no obligation to mediate, arbitrate, or resolve disputes between vendors and customers. Any disputes arising from vendor-customer engagements are solely between the vendor and customer.

Disputes between a vendor and BizStackHub regarding this Agreement are subject to the dispute resolution and arbitration provisions in the general Terms of Service (Section 13).

8. Data Privacy for Vendor Contacts

By listing on BizStackHub's Marketplace:

• You consent to publication of your business contact information (name, email, phone, website, location) in your vendor profile, which is publicly accessible and may be indexed by search engines.
• You consent to receiving inquiry messages from platform users, forwarded by BizStackHub to your registered contact email.
• You agree to use any customer contact information you receive through BizStackHub's inquiry system solely for responding to those inquiries. You may not add inquiry senders to marketing lists without their explicit consent.
• You are responsible for compliance with applicable data protection laws in your use of customer data received through the platform.

BizStackHub's handling of your data as a vendor is governed by the Privacy Policy (Section 16 — Vendor Information).

9. Termination

Either party may terminate this Agreement at any time:

• Vendor-initiated: Contact bizstackhub@polsia.app to request removal of your listing. Your profile will be deactivated within 5 business days.
• BizStackHub-initiated: BizStackHub may terminate or suspend your listing at any time for violations of this Agreement or the general Terms of Service, with or without prior notice depending on the severity of the violation.

Upon termination, your vendor profile will be removed from the public Marketplace. Inquiry records may be retained for up to 2 years for legal and audit purposes.

This Vendor Listing Agreement is incorporated into and forms part of the BizStackHub Terms of Service. In case of conflict, the Terms of Service shall govern.
